Introduction

The stage is set for a reboot of the Indian economy with a strong government at the centre, an environment for unleashing the next stage of economic reforms, and an improved sentiment among consumers, investors and the business community.

The new government has promised to make it easier to do business through speedier clearances and stable tax policies, raising the investors' and entrepreneurs' hope of a rosier future after years of low growth and high inflation.

Institutional investors across the globe have very keenly watched the changed economic and political setting in India, and are now beginning to have a conversation about India - a stark difference from the situation just a couple of years ago. LPs also note that if the golden era of the private equity in India were to start now, it would last longer.

However, policy reforms will have to be implemented in the next 12-18 months to sustain the interest going forward. Limited Partners are quick to add that cautious optimism on the macro front might not necessarily translate into dramatic turnaround for the Indian private equity yet. This has primarily to do with the not-so happy return experiences from the past in the region.

To identify the right path for a successful private equity business in India, and map the current pain points, challenges and opportunities as we usher in the new era of Indian private equity industry, VCCircle presents the 6th edition of its immensely successful flagship conference VCCircle India Limited Partners Summit 2015 on 18 February 2015, Mumbai.

The conference will cover areas such as:

     •  What are the expectations of limited partners from the new government?
     •  How does the blueprint to get long-term and locked-in capital back into the economy look like?
     •  How to make case for India in the near term and beyond?
     •  What are the strategies which will deliver best returns as we usher into the new era of private equity?
     •  Do LPs still need to see returns from India before putting money in or will fundraising increase on the expectation of opportunities?
     •  Understanding the private real estate market in India: what are the available opportunities and what are the core issues?
     •  Will there be a renewed investor interest in the infrastructure sector?
     •  How do LPs view India and will fundraising still remain stretched?
     •  Overview of the evolving global private equity business among other key debatable topics.

The conference will be attended by top global limited partners, India's leading general partners, top CEOs, economists, regulatory experts & officials and key luminaries of the investment ecosystem.

Over the past few years, the summit has been well received by over 150+ speakers and 1,000+ participants.

Panel 1: Investing in the 'New India' paradigm
The so-called BRICS group - Brazil, Russia, India, China and South Africa - all moved together a decade ago, but now India is pulling away from the others, feel experts. The India optimism contrasts with expectations of slowing growth in China and a lukewarm reaction to the re-election of Brazil's president last month. And all this comes at a time when the Indian economy is set for a reboot with a strong government at the centre, an environment for unleashing the next stage of economic reforms, and an improved sentiment among consumers, investors and the business community. The Indian equity indices have outperformed other emerging markets so far this year with the NSE Nifty rising 35% since January 1 in dollar terms. The rupee is the best-performing currency among big emerging markets. While investors at large are buoyed by the optimism, a few are still holding on to the purse-strings in anticipation of sweeping reforms.

Panel III: View from the top: LPs reveal Indian PE report card and will 2015 be an exciting investment vintage?
PE is a business which is essentially by the LPs, of the LPs and for the LPs. LPs realize that, besides General Partners, they also need to learn from the mistakes made in go-go days as the country enters another multi-year bull run. LPs admit that both LPs and GPs made mistakes during the benign days of 2006-07 and which is where most of the money is stuck. Going forward, the scrutiny will primarily revolve around exits, the panel unanimously agreed, irrespective of the macro environment.

What is the current state of LP - GP terms and partnerships in India? Are they becoming more favorable for the LPs or the GPs? What are the essential factors such as fees, structure and co- investment rights that are important for a successful fundraise? How are GPs and LPs aligning themselves between performance attribution and management fees? How will the providers and the investors of the capital amicably settle on risk-return fundamentals?

VCCircle Insights: Quick insightful discussions on the fast growing themes in the Indian INVESTING landscape

2:00pm - 2:45pm
VCCircle Insights I: Infrastructure & Real Estate
The year 2014 has been a turned around year for the infrastructure sector. Financial investors are back in the sector and closely evaluating deals. The sentiment towards India is positive today. Government has made some right moves on the fiscal policy side like deregulating diesel, movement on the Goods & Services Tax. The decision making process seems to be much quicker now. There has been a huge uptick in the real estate deal-making.

While there is a big impetus on the infrastructure sector, will the government be able to improve infrastructure as quickly and efficiently at the national level- What role will private capital play? What is the new story that the Indian real estate fund managers are narrating to their LP's? Which asset class would this money chase? Will Vintage PE funds from 2007-2008 look to exit in 2015 or will they postpone exit from market in 2016? Commercial IT Park – The flavor of the season, how are funds preparing to list their assets in REIT? What is the current domestic fund raising scenario? How to deal with challenges and complexities?

VCCircle Insights II: From dotcom bust to venture capital boom
Early stage INVESTMENT has come of age in India. Some of the early stage investments that have heaped great returns for Indian investors include RedBus, Just Dial, MAKEMYTRIP, MuSigma, Naukri, InMobi among others. Billion dollar valuation has become the new million for consumer internet at large. The sheer amount of vibrancy in the space and deal making in internet ventures make dotcom bust look like a thing of the past. But is this hype or real value creation that is happening? Can it be sustained? Is there a real exit environment for VC-backed companies?

VCCircle Insights III: Private Equity in Public Equities
A lot of funds have been seen engaged in passive PIPE investing. A quick run up in the stock market has provided for easy avenues for the PE funds to cash out and make some handsome returns. But do LPs like funds to engage in such opportunistic transactions? Is it now necessary for funds to have a flexible style of investing as Indian markets are so dynamic in nature?

VCCircle Insights IV: Big Deals Are Back - where are we headed?
Private equity firms have once again started signing big cheques for Indian firms as business climate is showing signs of turnaround and there is a large pile of capital still to be deployed. There have been 19 $100-million plus PE deals in the country since January this year, around 50 per cent more than the same period last year, as per data compiled by VCCEdge, the data research platform of VCCircle. IT, including e-commerce and IT services, leads with one-third of these deals.

- What is driving big deals back? Will the trend continue? Who are the players driving the front - end of this market? Which sectors are looking most lucrative for such deals? Has the Indian deal making environment finally matured to see advent of big bang deals? Do we have late stage VC investing in India?
